Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Nuerba mobile application (the "App") operated by The Synaptic Learning Company ("we," "us," or "our").

1. Acceptance of Terms

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

2. Eligibility

You must be at least 13 years of age to use the App. By using the App, you represent that you meet this age requirement. If you are under 18, you represent that you have your parent's or guardian's permission to use the App.

3. Account Registration

To use certain features of the App, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

• Use the App for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the App's functionality
• Reverse engineer, decompile, or disassemble the App
• Use automated systems to access the App
• Share your account with others
• Upload malicious content or code

5. User Content

You retain ownership of content you create in the App (such as flashcards). By creating content, you grant us a limited license to store, display, and process that content solely to provide the App's services to you.

You are responsible for ensuring your content does not violate any third-party rights or applicable laws.

6. Third-Party Content

The App provides access to third-party content including:

• Music and lyrics - Sourced from YouTube and Genius. This content is owned by respective copyright holders.
• Translations - Provided by Google Translate.
• AI-generated definitions - Provided by Google Gemini.

We do not claim ownership of third-party content. Your use of such content is subject to the respective third-party terms and copyright laws.

7. Intellectual Property

The App, including its design, features, and original content, is owned by The Synaptic Learning Company and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

The Nuerba name and logo are trademarks of The Synaptic Learning Company.

8. Subscriptions and Payments

Some features may require a paid subscription. Payments are processed through Apple App Store or Google Play Store. All payment terms, including refunds, are subject to the respective platform's policies.

Subscriptions automatically renew unless cancelled before the renewal date through your device's subscription settings.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The App will be uninterrupted or error-free
• Results from using the App will be accurate
• The App will meet your specific requirements

Language learning outcomes depend on individual effort and practice. We do not guarantee any specific learning results.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SYNAPTIC LEARNING COMPANY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE APP.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless The Synaptic Learning Company and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the App or violation of these Terms.

12. Termination

We may suspend or terminate your access to the App at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the App ceases immediately
• We may delete your account and data
• Provisions that should survive termination will remain in effect

You may delete your account at any time through the App settings.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through the App or via email. Continued use after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Synaptic Learning Company regarding the App.
